You may use our website for lawful purposes only. You agree not to use our website:

  • To transmit or procure the sending of any advertising or promotional material without our prior written consent
  • To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
  • In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful

The specific services we provide will be outlined in individual Agreements with each Client. These Terms supplement but do not replace the specific terms of any Agreement.

  • In compliance with applicable laws and regulations
  • According to the specifications outlined in the Agreement

4.3 Client Responsibilities

Clients agree to:

  • Provide accurate and complete information
  • Respond to requests for information in a timely manner
  • Provide necessary access to systems and resources
  • Comply with recommendations and best practices
  • Pay all fees in accordance with the Agreement

5. Fees and Payment

5.1 Fees

Fees for services will be specified in the Agreement. All fees are exclusive of VAT and other applicable taxes unless otherwise stated.

5.2 Payment Terms

Payment terms will be specified in the Agreement. Late payments may incur interest charges at a rate of 8% per annum above the Bank of England base rate.

5.3 Expenses

Unless otherwise agreed, reasonable expenses incurred in providing the services will be charged to the Client in addition to the agreed fees.

6. Confidentiality

Both parties agree to:

  • Keep confidential all information disclosed by the other party
  • Use confidential information only for the purposes of the Agreement
  • Not disclose confidential information to third parties without prior written consent
  • Return or destroy confidential information upon request

7. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the UK GDPR and Data Protection Act 2018.

8. Limitation of Liability

8.1 Exclusions

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded under applicable law

8.2 Liability Cap

Subject to clause 8.1, our total liability under these Terms or any Agreement shall not exceed the total fees paid by the Client in the 12 months preceding the claim.

8.3 Consequential Losses

We shall not be liable for any indirect, consequential, or special losses including loss of profits, revenue, data, or business opportunities.

9. Warranties and Disclaimers

9.1 Our Warranties

We warrant that services will be performed with reasonable skill and care.

9.2 Disclaimers

Except as expressly stated, we provide services "as is" without warranties of any kind, whether express or implied.

10. Termination

10.1 Termination Rights

Either party may terminate an Agreement:

  • By mutual written agreement
  • If the other party materially breaches the Agreement and fails to remedy within 30 days
  • If the other party becomes insolvent or enters administration

10.2 Effect of Termination

Upon termination:

  • All outstanding fees become immediately due
  • We will return or destroy Client confidential information
  • Provisions relating to confidentiality and liability survive termination

11. Indemnification

You agree to indemnify and hold harmless Matirix Ltd from any claims, damages, or expenses arising from your breach of these Terms or misuse of our services.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of the website constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with any Agreement, constitute the entire agreement between the parties and supersede all prior agreements and understandings.
